Partnership & Liability Policy
At Swifties Iloilo, we value the spirit of collaboration, inclusivity, and community. As part of our ongoing efforts to support fan-driven initiatives, events, and projects, we may from time to time engage in partnerships, collaborations, sponsorships, co-hosting opportunities, or other forms of affiliation (collectively referred to as “Partnerships”) with individuals, organizations, groups, or businesses (collectively referred to as “Partners”).
This Partnership & Liability Policy (“Policy”) is established to define the scope of partnerships that Swifties Iloilo may enter into and to expressly state the limitations of responsibility and liability that Swifties Iloilo assumes in relation to its Partners and their respective activities. By engaging with, transacting with, or participating in any activity involving a Partner of Swifties Iloilo, individuals expressly acknowledge and agree that Swifties Iloilo bears no responsibility or liability for the conduct, services, products, or representations of such Partners.
1. Independent Relationship of the Parties
1.1. All Partnerships with Swifties Iloilo are non-exclusive, voluntary, and independent in nature. Nothing contained in any agreement, arrangement, or representation shall be construed to establish a legal joint venture, partnership under the Civil Code of the Philippines, agency, employment, fiduciary relationship, or franchise between Swifties Iloilo and its Partners.
1.2. Each Partner remains solely responsible for its own governance, employees, officers, contractors, representatives, volunteers, financial obligations, and operations, and Swifties Iloilo does not assume oversight or accountability for such matters.
1.3. No Partner shall have authority to bind, obligate, or otherwise legally commit Swifties Iloilo to any agreement, representation, warranty, or undertaking without the express prior written authorization of Swifties Iloilo.
1.4. Individuals engaging with, transacting with, or otherwise interacting with a Partner acknowledge that they are doing so solely with the Partner and not with Swifties Iloilo, unless explicitly stated in writing by Swifties Iloilo.
2. Scope of Liability
2.1. Swifties Iloilo shall not, under any circumstances, be held responsible, accountable, or liable for any claims, demands, losses, damages, costs, expenses, liabilities, or proceedings of any kind (whether direct, indirect, incidental, consequential, or punitive) that may arise out of or relate to:
• The Partner’s actions, omissions, representations, negligence, or misconduct.
• The Partner’s goods, services, or promotional materials.
• Any third-party disputes, complaints, or litigation connected to the Partner’s conduct.
• Breach of applicable law, regulation, or ordinance by the Partner.
• Financial, operational, or reputational issues encountered by the Partner.
• Any interaction, transaction, or engagement made by an individual with a Partner.
2.2. Both Partners and individuals expressly acknowledge and agree that all risks associated with entering into, participating in, or engaging with a Partnership or a Partner of Swifties Iloilo remain solely with them.
3. Responsibilities of Partners
3.1. Partners are expected to conduct themselves with professionalism, integrity, and transparency at all times.
3.2. Partners are solely responsible for:
• Obtaining and maintaining all necessary licenses, permits, and certifications relevant to their operations and activities.
• Ensuring compliance with all applicable laws, ordinances, regulations, and community standards.
• Conducting their activities in a manner that does not harm, disparage, or bring into disrepute the name, reputation, or goodwill of Swifties Iloilo.
• Seeking prior written consent before using any name, logo, trademarks, service marks, or branding elements of Swifties Iloilo.
3.3. Partners agree to promptly notify Swifties Iloilo in writing of any actual, threatened, or potential claims, disputes, investigations, or other matters that may affect or involve Swifties Iloilo in connection with the Partnership.
4. Indemnification
4.1. To the fullest extent permitted by law, Partners agree to indemnify, defend, and hold harmless Swifties Iloilo, its coordinators, representatives, volunteers, affiliates, successors, and assigns from and against any and all claims, demands, damages, liabilities, losses, penalties, costs, or expenses (including but not limited to reasonable attorneys’ fees and litigation costs) arising out of, related to, or resulting from:
• The Partner’s conduct, services, products, or representations.
• Any breach of this Policy, applicable law, or contractual obligations by the Partner.
• Claims or disputes initiated by third parties in connection with the Partner’s activities or with individuals’ interactions with the Partner.
4.2. This indemnification obligation shall survive the termination or expiration of any Partnership.
5. Disclaimer of Endorsement
5.1. Partnership with Swifties Iloilo does not constitute or imply any form of endorsement, guarantee, sponsorship, or certification of a Partner’s services, products, business practices, or views.
5.2. Any co-branding, promotional activity, or public acknowledgment of a Partner is provided strictly for purposes of mutual visibility and collaboration and shall not be construed as an assurance of quality, safety, or legality of the Partner’s activities or of the experiences of individuals who interact with them.
6. Termination of Partnership
6.1. Swifties Iloilo reserves the absolute right, at its sole discretion and at any time, to suspend, revoke, or terminate any Partnership, with or without cause, and without liability for damages, losses, or expenses incurred by the Partner.
6.2. Grounds for immediate termination may include, but are not limited to:
• Misconduct, misrepresentation, or breach of trust by the Partner.
• Violation of applicable laws or regulations.
• Conduct that, in the reasonable opinion of Swifties Iloilo, may adversely affect the reputation, integrity, or safety of its community.
6.3. Termination of a Partnership shall not release the Partner from any ongoing indemnification obligations under this Policy.
7. Limitation of Representations
7.1. No Partner is authorized to make statements, promises, guarantees, or representations on behalf of Swifties Iloilo, whether verbal, written, or implied.
7.2. Any unauthorized statements, representations, or actions made by a Partner shall be deemed solely their own and shall not, under any circumstance, be attributable to Swifties Iloilo.
7.3. Partners found to have misrepresented their authority to act on behalf of Swifties Iloilo may be subject to immediate termination of their Partnership and potential legal action.
7.4. Individuals interacting with Partners must understand that any representations made by a Partner are solely the Partner’s responsibility and not that of Swifties Iloilo.

Acknowledgement
By engaging with, participating in, or otherwise interacting with any Partner of Swifties Iloilo in connection with activities, events, services, or initiatives carried out under a Partnership, you expressly acknowledge that you have read, understood, and agreed to the terms outlined in this Partnership & Liability Policy.
You further understand and agree that:
• Swifties Iloilo is not responsible or liable for the actions, omissions, representations, or conduct of its Partners.
• Any engagement, transaction, or interaction you undertake with a Partner is made at your own discretion and risk.
• Swifties Iloilo does not endorse, guarantee, or warrant the services, products, or practices of its Partners.
• All concerns, disputes, or claims arising from your interaction with a Partner shall be addressed directly with the Partner and not with Swifties Iloilo.
By continuing to participate in activities or transact with Partners affiliated with Swifties Iloilo, you signify your acceptance of these terms and confirm that you have reviewed the full Partnership & Liability Policy made available on this website.
Swifties Iloilo reserves the right to update or modify this Policy at any time, and your continued interaction with Partners shall constitute acknowledgment and acceptance of such updates.
Swifties Iloilo reserves the right to amend, update, or modify this Partnership & Liability Policy at any time, without prior notice. Any such changes shall take effect immediately upon posting on the official Swifties Iloilo website or through other designated communication channels. Partners, as well as individuals engaging with or interacting with Partners, are encouraged to review this Policy regularly to remain informed of any updates.
Continued involvement in a Partnership, engagement with a Partner, participation in events, or use of any services, platforms, or activities connected to Swifties Iloilo after modifications have been posted shall constitute acknowledgment and acceptance of the updated terms.
